Approval and publication of prospectus - Listing of shares

Oslo, 18 July 2019

Reference is made to the stock exchange notices published on 29 April 2019 and 4 June 2019 regarding Interoil Exploration and Production ASA’s (the “Company”) acquisition of petroleum concessions in Argentina and the issuance of consideration shares in connection therewith. Reference is further made to the stock exchange notice published on 26 June 2019 regarding the Company’s conversion of debt to equity.

The prospectus for listing of a total of 25,784,179 new shares in the Company (the “Prospectus”) was approved by the Financial Supervisory Authority of Norway on 18 July 2019, and is published today. The Prospectus covers listing of the following shares:

The remaining unlisted 15,821,851 shares of the 22,221,851 consideration shares originally issued to the sellers of the petroleum concessions in Argentina, and where the corresponding shares capital increase was registered with the Norwegian Register of Business Enterprises on 4 June 2019, will be listed and tradeable on the Oslo Stock Exchange from 19 July 2019.

The 7,354,554 shares the Company has resolved to issue in connection with conversion of debt to the sellers of the Argentinian assets, and as further compensation to the sellers of the Argentinian assets in accordance with the anti-dilution mechanism in the contract, will become listed and tradeable after registration of the share capital increase pertaining to the issuance of these shares with the Norwegian Register of Business Enterprises and delivery to the sellers.

The 2,607,774 shares the Company has resolved to issue to Fedmul S.A., will become listed and tradeable after registration of the share capital increase pertaining to the issuance of these shares with the Norwegian Register of Business Enterprises and delivery to Fedmul S.A.

Separate announcements will be made at such time as these registrations have been completed.
